We are an Online Marketplace company selling WordPress themes and plugins. We build website templates and related softwares that our clients use them to power their websites. Our themes are pre-built website templates that makes the way how a website displays. People who require a website or a web design agency that builds websites for their clients with WordPress can buy our themes and plugins in order to create a website for them. You are using our service and your registration with us bound your agreement to these Terms of Service. Any changes to these Terms and Conditions are subjected to change without any prior information. Hence you are required to review the Terms and Conditions on a regular basis. And these Terms and Conditions shall apply to all visitors accessing our website and services.

This agreement explains the allowed permissions while using our services and the rights you have as a user of ThemesRain. And also ThemesRain reserves the rights to take appropriate action if you do something that is not allowed while using our services. This Agreement pretends to be a legal contract between you and ThemesRain and it is important for you to read it carefully.

(i) Terms of Service: The initial term of Services purchased by you will be the time period that is provided in the registration form presented to you when you order the Services. If your purchase includes Subscription of Services, please be informed that the Subscribed services will be automatically renewed on a month to month basis, unless you cancel at least fifteen (15) days prior to the end of the Initial Term or otherwise as stated in the notice sent to you at least thirty (30) days prior to the expiration of your current term might be charged. You acknowledge, agree, and authorize us to automatically bill the applicable fee and/or charge your credit card or other payment methods on file up to seven (7) days before the end of each Renewal Period, unless you cancel or terminate the Subscription Services prior to the charges provided in this section. The “Terms of Use” of this Agreement shall include the Initial Terms and all Renewal Periods if any.

(ii) Termination Procedure: You may terminate or cancel the Services you purchased at any time during the Term by giving ThemesRain notice by phone or chat. The cancellation request is subject to verification of ownership of the account and/or domain, as determined in ThemesRain’s sole discretion. In the event of cancellation of the service, you might be obligated to pay a cancellation fee as set forth in the applicable Service Description.

(iii) Disabling automatic renewal option: Please contact us at support@wedesignthemes to disable the automatic renewal option.

(iv) Termination by THEMESRAIN: THEMESRAIN may terminate your access to the Services, in whole or in part, without notice in the event that: (i) you fail to pay any fees due hereunder to THEMESRAIN; (ii) you violate the terms and conditions of this Agreement; (iii) your conduct may harm THEMESRAIN or others, cause THEMESRAIN or others to incur liability, or disrupt THEMESRAIN’s business operations (as determined by THEMESRAIN in its sole discretion); (iv) you are abusive toward THEMESRAIN’s staff in any manner; or (v) for any other lawful reason or as otherwise specified in this Agreement. If THEMESRAIN terminates your Services under this section, THEMESRAIN will not refund to you any fees paid in advance of such termination, and you shall be obligated to pay all fees and charges accrued prior to the effectiveness of such termination.

The Services are intended solely for users who are eighteen (18) years aged or older. Any registration to use or to access to our Services by anyone under the age of eighteen (18) is considered unauthorized and in violation of this Agreement. By registering for using our Services, you represent and warrant that you are eighteen (18) years of age or older. If you’re under 18 you will need to get a parent or guardian to get a membership to buy an item or use the account of a parent or legal guardian who is at least 18 years of age, with their permission, and this adult would be responsible for all your activities.

If you use our Services on behalf of another party, company or other organization, you represent and warrant that you are authorized to bind such party, company or organization to this Agreement and to act on behalf of such party, company or organization with reference to any actions you’re taking in reference to the Services.

You comply with ThemesRain (i) to provide the accurate, current and complete information about yourself (if applicable) and as prompted in the registration forms (“Registration Input”); (ii) to maintain the confidentiality of your password and other information associated with the safety of your account; (iii) to maintain and promptly update the Registration Data and the other information you provide to ThemesRain, to stay such information accurate, current and complete; and (iv) be fully liable for use of your account and for any actions that happen through your account, whether or not authorized by you.

ThemesRain has implemented several measures designed to protect personal information in our custody and control. We maintain reasonable administrative, physical and technical safeguards for an attempt to guard against unauthorized access, use, modification and disclosure of the private information from our control. Unfortunately, no data transmission over the web or any wireless network is often bound to be 100% secure. As a result, while we attempt to guard your personally identifiable information, you acknowledge that: (a) there are security and privacy limitations of the web which are beyond our control; (b) the safety, integrity, and privacy of any and every one information and data exchanged between you and us through this site can’t be guaranteed; (c) any such information and data may be viewed or tampered with in transit by a third party despite our best efforts, and (d) ThemesRain shall have no liability in connection with any of the foregoing.

It is solely your responsibility to maintain and control your ThemesRain account passwords, and you are solely responsible for all authorized and unauthorized activities that occur in connection with your account. You agree to notify ThemesRain immediately of any unauthorized access to your account. ThemesRain will not be liable for any loss or damages of any kind caused by your failure to comply with this section.

(i) Payment Due: You will pay to ThemesRain all fees for the Services set forth in the registration form presented to you at the time you order the Services and for all fees for subsequent Renewal Periods, if applicable, at the time of renewal.

(ii) Price Increases: ThemesRain may increase the fees for the Services (i) in the manner permitted in the applicable description of the particular Services published by ThemesRain on the ThemesRain Website or in a promotional offer (collectively, the “Service Description”) and (ii) at any time on or after expiration of the Initial Term by providing thirty (30) days prior notice to you. A notice could also be within the sort of (i) notices and updates provided through the User billing tool provided as a part of the Services, (ii) notices and any other updates provided through the Services, or (iii) notifications of pricing for renewal terms. It is your sole responsibility to periodically review billing-related information provided by ThemesRain through the User billing tool or other methods of communications and notices sent or posted by ThemesRain.

(iii) Taxes: The advertised fees don’t include any applicable sales tax, use, revenue, excise or other taxes imposed by any taxing authority with reference to the Services provided hereunder. All such taxes may be added to ThemesRain’s invoices for the fees as separate charges to be paid by you. All payments are non-refundable when paid except as otherwise provided herein.

(iv) Automatic Renewals: By purchasing Services that are provided on a subscription basis as set forth in the Service Description (collectively, the “Subscription Services”), you agree to allow ThemesRain to place your account on a recurring payment plan. The account will automatically be re-billed according to the term length of the Subscription Services you select. For Subscription Services with term lengths of three (3) months or longer, ThemesRain shall provide notice of the upcoming charge to User no later than thirty (30) days prior to the payment date for each Renewal Period. This notification is going to be sent to the contact email address on file for the Account. Unless you disable the automated renewal option, we’ll automatically renew the Subscription Services up to seven (7) days before your renewal date and can take payment from the payment method we have on file. ThemesRain may make multiple attempts to collect payment from the payment method on file if the initial attempt is not successful.

(v) Failure to Pay: If you fail to pay the fees due, we may still plan to collect payment from the payment method on file, suspend, and/or terminate your Services and pursue the collection costs incurred by ThemesRain, including without limitation, any legal fees and ThemesRain’s reasonable attorneys’ fees. Accounts won’t be activated or reactivated until all outstanding amounts are paid.

(vi) Fraudulent: It is a violation of this Agreement for any misuse or fraudulently use of credit cards, debit cards, electronic funds transfers, and/or electronic checks. We may report all such misuses and fraudulent uses (as determined by us in our sole discretion) to the appropriate government and enforcement authorities, credit reporting services, financial institutions and credit card companies.

(vii) Disputes: You have ninety (90) days to dispute any charge or payment processed by ThemesRain. If you’ve got an issue concerning a charge you think is wrong, please call us, and that we will investigate. Our phone number is +91 422 2625030. If you initiate a chargeback, there may be a minimum charge of $15.00 plus applicable taxes to reactivate your account and we reserve the right to suspend your account for the duration of the dispute.
